# CUSTOMER TERMS OF USE AND SALE *Seller and platform operator: Screenwall Arts and Prints | Effective date: [TO BE SET AT PUBLICATION]* ## 1. Who we are The Screenwall platform is operated by Screenwall Arts and Prints, with its office at B-303, Shanti Vihar, Sector 95, Gurugram, Haryana 122505, India. In these Terms, Screenwall, we and us refer to Screenwall Arts and Prints. Unless expressly stated otherwise, Screenwall is the seller of the physical product purchased by the customer. Participating artists are creators/licensors of underlying artwork and do not ordinarily act as the customer-facing seller of the physical product. ## 2. Acceptance and eligibility By using the website, creating an account, submitting an order or affirmatively accepting these Terms at checkout, you agree to these Terms and the policies incorporated by reference. If you are under 18, you may use the purchasing service only through a parent or legal guardian who accepts responsibility for the transaction. Checkout acceptance must be by explicit affirmative action; Screenwall will not rely on a pre-ticked terms checkbox. ## 3. Products and artist works Screenwall offers made-to-order or stocked physical art and décor products. Product pages identify the artwork, artist where applicable, size, finish, price and other relevant characteristics. Where a work is described as an artist/original work, that description is based on the Artist's declarations and Screenwall's curation/review processes. Screenwall is not a forensic authentication authority and does not make a broader legal guarantee of authorship beyond representations expressly stated and liabilities imposed by applicable law. Purchase of a physical product does not transfer copyright or other intellectual-property rights in the underlying artwork. ## 4. Product appearance and production variation Screen colours vary by device, calibration and ambient lighting. Printed colour, gloss/matt appearance and metallic substrate characteristics may therefore differ modestly from the on-screen preview. Minor production variations that are customary for the manufacturing process and do not materially change the advertised character or usability of the product are not treated as defects. Material deviations, wrong products, manufacturing defects or damage remain covered by the Returns and Refund Policy and applicable law. ## 5. Prices, charges and taxes The checkout will show the total amount payable and a breakdown of applicable merchandise, discounts, accessories, delivery and taxes/GST where applicable. Prices may change for future orders, but a successfully paid order retains its recorded commercial snapshot. Promotions may have eligibility, expiry and usage limits and ordinarily cannot be stacked unless expressly permitted. ## 6. Orders and contract formation Placing an order and submitting payment is an offer to purchase. The order is accepted when Screenwall verifies successful payment and confirms the order, subject to fraud/security checks and lawful availability. Screenwall may reject or cancel an order before fulfilment where payment fails, the item cannot reasonably be manufactured, a material pricing/technical error occurred, fraud or abuse is suspected, fulfilment would violate law or rights, or another legitimate operational reason exists. If Screenwall cancels an already-paid order, Screenwall will issue the appropriate refund. ## 7. Payments Payments may be processed by Razorpay or another payment service identified at checkout. Payment providers process payment credentials under their own terms and privacy practices. Screenwall does not require customers to provide card PINs, OTPs or online-banking passwords outside the authorised payment-provider interface. Screenwall may store provider transaction IDs, payment status and reconciliation records but does not need to store full card credentials. ## 8. Delivery Delivery dates shown on product, checkout, confirmation or tracking pages are ordinarily estimates unless Screenwall expressly identifies a date as a committed delivery schedule. Screenwall will use reasonable efforts to meet stated estimates and commitments. Screenwall is not responsible for delay caused by force majeure or events beyond Screenwall's reasonable control that legally qualify for such protection, including natural disasters, severe weather, war/civil disturbance, epidemic or public-health restrictions, government actions, widespread transport or network disruption, strikes or comparable events. Ordinary operational inconvenience will not automatically be treated as force majeure. Where applicable law provides a cancellation, return or refund right for late delivery, that right remains available. Where the delay is caused by force majeure, late delivery does not by itself create a cancellation/refund right to the extent applicable law permits. Customers must provide an accurate address, PIN code and reachable mobile number and should promptly notify Screenwall of any error before dispatch. Detailed delivery terms are set out in the Shipping and Delivery Policy. ## 9. Cancellation, returns, replacements and refunds Many Screenwall items are made to order. A change-of-mind cancellation may be requested before production starts. Where Screenwall accepts such a cancellation, an administrative cancellation charge of 15% of the cancelled merchandise value may apply only to the extent permitted by applicable law and subject to the reciprocal cancellation-charge requirement described in the Cancellation, Returns, Replacement and Refund Policy. Once production has started, made-to-order and personalised products are generally not cancellable or returnable merely for change of mind, except where applicable law requires otherwise. Screenwall will not refuse an appropriate return/refund remedy where goods are defective, deficient, spurious, materially different from the advertised/agreed characteristics, incorrectly supplied, or delivered late from an expressly stated delivery schedule in circumstances where applicable law requires a return/refund. The late-delivery remedy does not apply merely because of delay caused by force majeure to the extent provided by applicable law. Detailed rules and procedures are in the separate Cancellation, Returns, Replacement and Refund Policy. ## 10. Mounting, installation and customer use Customers must use reasonable care and follow all mounting, installation, handling, load and safety instructions supplied with the product or accessory. Wall type, surface strength and condition, moisture, heat, paint/plaster quality, load-bearing capacity, fixing/mounting method and third-party hardware can materially affect mounting performance. The customer is solely responsible for assessing whether the selected wall/surface and installation method are suitable and safe, and for obtaining qualified installation assistance where appropriate. To the maximum extent permitted by law, Screenwall is not liable for injury, property damage, breakage, falling products, wall/surface damage or other loss to the extent caused by incorrect or negligent installation, unsuitable or deteriorated surfaces, use of incompatible/third-party mounting materials, overloading, misuse, unauthorised alteration, failure to follow supplied instructions, or other acts/conditions outside Screenwall's control. This exclusion does not limit liability that cannot lawfully be excluded, including liability arising from a defect in the Screenwall-supplied product or instructions where applicable consumer/product-liability law imposes responsibility. ## 11. Intellectual property and permitted use You acquire ownership of the purchased physical item, not the copyright in the artwork. Except as permitted by law, you may not scan, reproduce, upload, distribute or commercially exploit high-resolution copies of an artwork; manufacture copies; provide copies to another printer/manufacturer; remove rights notices for commercial misuse; or falsely claim authorship. Resale or gifting of the lawfully purchased physical item does not by itself transfer copyright. ## 12. Website and account use You must provide accurate account and checkout information and maintain reasonable security of your account credentials. You must not attempt unauthorised access, interfere with the site, introduce malicious code, scrape protected artwork for commercial reproduction, manipulate payment/referral/promotion systems, impersonate another person, or use the service for unlawful activity. Screenwall may suspend access where reasonably necessary for security, fraud prevention or material breach. ## 13. Referral attribution A valid referral link or code may attribute an order to an eligible referrer under the Referral Programme Terms. Referral attribution does not increase the customer's price unless expressly stated. Referral commissions are arrangements between Screenwall and eligible referrers and do not transfer additional rights or obligations to the customer. ## 14. Privacy Screenwall processes personal data in accordance with the Privacy Policy. This includes information needed for account operation, checkout, payment reconciliation, delivery, customer support, artist/referral programmes, fraud prevention, security and legal compliance. ## 15. Complaints and grievance redressal Customers may submit complaints through the customer-care/grievance channels published on the website. Screenwall will issue a complaint reference/ticket number for trackable grievances. Screenwall will endeavour to acknowledge consumer complaints within 48 hours and redress them within one month, consistent with applicable e-commerce rules. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCREENWALL'S AGGREGATE CONTRACTUAL LIABILITY ARISING OUT OF OR RELATING TO AN ORDER OR AN AFFECTED PRODUCT WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE CUSTOMER TOWARDS THE AFFECTED PHYSICAL PIECE (AFTER APPLICABLE ITEM-LEVEL DISCOUNTS), EXCLUDING DELIVERY CHARGES AND TAXES, AS RECORDED IN THE ORDER SNAPSHOT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCREENWALL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSS, OR FOR LOSS OF PROFIT, REVENUE, BUSINESS, OPPORTUNITY, DATA, GOODWILL OR OTHER REMOTE ECONOMIC LOSS ARISING FROM THE PURCHASE OR USE OF A PRODUCT. THE ABOVE LIMITATIONS DO NOT EXCLUDE OR LIMIT ANY LIABILITY, REMEDY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING MANDATORY PRODUCT-LIABILITY OR CONSUMER-PROTECTION LIABILITY FOR HARM CAUSED BY A DEFECTIVE PRODUCT WHERE APPLICABLE. Nothing in these Terms limits a customer's statutory rights in relation to defective, unsafe, materially misdescribed or otherwise non-compliant goods. ## 17. Force majeure Screenwall is not responsible for delay or non-performance caused by events beyond its reasonable control, including natural disasters, severe weather, war, civil disturbance, epidemic/pandemic restrictions, government actions, major network/payment outages, strikes, transport disruption or courier disruption. Where applicable law gives a customer a refund or other remedy despite such an event, that statutory right remains unaffected. ## 18. Changes to the website or Terms Screenwall may update the website, products and these Terms prospectively. The version applicable to a paid order will generally be the version accepted when that order was placed, except to the extent a later change is required by law. ## 19. Governing law and consumer rights These Terms are governed by the laws of India. Subject to mandatory consumer-forum jurisdiction and other rights that cannot be restricted, courts at Gurugram, Haryana will have jurisdiction over disputes arising from these Terms. Nothing in these Terms restricts the right of an eligible consumer to approach a competent Consumer Commission or other statutory forum. ## 20.
